End User License Agreement (EULA)

Effective Date: June 12, 2026

This EULA governs your licensed use of Kintah Marketplace software, dashboards, workflows, APIs, templates, analytics, documentation, and related platform components. It works together with the Terms of Service, Privacy Policy, subscription terms, order forms, and any written agreement with Kintah.

1. License Grant

Subject to an active account, verified payment where required, and compliance with platform policies, Kintah grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the software for authorized business marketplace, export readiness, logistics, compliance, buyer, and operational workflows.

2. Authorized Users and Tenant Scope

Use is limited to approved tenant accounts, account roles, seat limits, subscription features, and users authorized by the tenant administrator. You are responsible for keeping user access current and for all activity under your tenant and seats.

3. Permitted Use

You may use the platform to manage company profiles, products, compliance records, readiness scores, documents, inventory, shipments, samples, buyer interactions, CRM records, campaigns, dashboards, and related APIs for lawful internal business and marketplace operations.

5. Ownership and Feedback

Kintah and its licensors own the software, platform design, workflows, service marks, templates, user interface elements, documentation, and system-generated structures. If you provide ideas, feedback, or suggestions, Kintah may use them without restriction or obligation unless agreed otherwise in writing.

6. User Content and Business Data

You retain ownership of your submitted business content, including company records, product records, shipment documents, compliance files, buyer communications, and marketing assets. You grant Kintah the rights needed to host, process, secure, display, transmit, analyze, back up, and support that content for the platform and related services.

7. APIs, Integrations, and Third-Party Services

API and integration access may be rate-limited, changed, suspended, or revoked to protect security, reliability, legal compliance, or fair use. Third-party services such as payment processors, hosting providers, analytics tools, logistics providers, or communication services are governed by their own terms.

8. Security and Compliance Controls

You must use reasonable security practices, protect credentials, maintain accurate user roles, promptly remove inactive seats, and avoid uploading malicious or unlawful content. Kintah may apply security updates, access restrictions, monitoring, audit controls, or emergency suspensions where needed.

9. Updates and Availability

Kintah may update, improve, patch, replace, suspend, or discontinue features to maintain security, compliance, reliability, usability, or business fit. Some functionality may depend on plan features, third-party availability, user configuration, and accurate data entry.

10. Termination

This license ends when your subscription, account, or authorization ends. Kintah may suspend or terminate the license for non-payment, security risk, prohibited conduct, unauthorized use, missing verification, or violation of the Terms, Privacy Policy, this EULA, or applicable law.

11. Warranty Disclaimer

Except where expressly agreed in writing, the software is provided as is and as available. Kintah does not guarantee uninterrupted operation, error-free performance, commercial outcomes, customs clearance, shipment performance, buyer conversion, supplier readiness, or third-party service availability.

12. Limitation of Liability

To the maximum extent permitted by law, Kintah is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, shipment delays, customs issues, uninsured losses, or third-party acts.

13. Order of Terms

If this EULA conflicts with a signed written agreement, the signed agreement controls for that conflict. Otherwise, the Terms of Service govern platform usage, and the Privacy Policy governs personal data.
