Terms of Service
Effective Date: June 12, 2026
These Terms govern access to Kintah Marketplace, including supplier onboarding, product management, compliance readiness, buyer discovery, sample workflows, supply chain tracking, CRM, marketing, APIs, subscriptions, and support services. By registering, accessing, or using the platform as a supplier, buyer, distributor, logistics partner, staff user, reviewer, or partner, you agree to these Terms.

1. Eligibility and Account Verification
Users must provide accurate business, contact, tax, procurement, warehouse, logistics, and role information where applicable. Kintah may approve, reject, suspend, or request reverification of an account based on internal verification, compliance, payment, risk, or security standards.
2. User Roles and Responsibilities
- Suppliers and sellers must keep company, factory, product, inventory, pricing, shipment, invoice, packing list, and compliance records accurate and current.
- Buyers must submit good-faith RFQs, sample requests, purchase orders, feedback, payment, inspection, and dispute information.
- Logistics partners and shippers must maintain valid business credentials, insurance, route updates, shipment milestones, delivery evidence, and required documents.
- Partners and internal users must manage only authorized clients or records and protect confidential business information.
3. Product, Compliance, and Trade Data
Users are responsible for the legality and accuracy of product listings, labels, ingredients, nutrition data, certifications, HS/tariff information, declared value, country of origin, and export/import readiness records. Kintah may audit or remove records that are incomplete, misleading, unlawful, or inconsistent with marketplace standards.
4. Shipment Insurance, Proof, and Lifecycle Tracking
Shipments should be tracked through the platform workflow, including pickup, in-transit updates, ETD, ETA, ports, incoterms, carrier or container references, delivery confirmation, and supporting documents. Where shipment insurance is required, coverage must be active before dispatch and must reasonably cover goods in transit, cross-border risks, loss, damage, and liability. Kintah may hold payouts, restrict shipment activity, or suspend accounts when insurance or proof-of-delivery requirements are not met.
5. Buyer Inspection and Disputes
Buyers must inspect shipments promptly and provide evidence for delivery issues, shortages, quality concerns, or disputes. Dispute evidence may include delivery photos, signed documents, condition reports, correspondence, and shipment records. Fraudulent chargebacks, false claims, or misuse of dispute processes may result in suspension.
6. Payments, Fees, Payouts, and Subscriptions
Platform access may depend on subscription plans, seat limits, feature flags, and payment verification. Transaction fees, payout timing, commissions, escrow terms, or service charges may be shown in the applicable plan, order, account, or agreement. Kintah may limit access for unpaid accounts and may release seller, shipper, or partner payouts only after applicable delivery, insurance, compliance, and dispute checks are complete.
7. Platform Integrity and Prohibited Conduct
- No false identity, company, product, shipment, insurance, certification, or payment information.
- No illegal, restricted, counterfeit, unsafe, infringing, sanctioned, or unauthorized goods or services.
- No attempts to bypass platform payments, subscriptions, order controls, role permissions, or security measures.
- No harassment, fraud, abusive automation, scraping, malware, reverse engineering, or unethical trade practices.
8. Data Protection and Confidentiality
Use of the platform is also governed by the Privacy Policy. Users must protect credentials, restrict seat access to authorized personnel, and maintain confidentiality of business records, pricing, buyer lists, supplier data, shipment records, and compliance documents.
9. Intellectual Property
Kintah retains all rights in the platform, software, workflows, design, service marks, analytics outputs, and documentation except for user-submitted business content. Users retain their uploaded business data and grant Kintah the rights needed to host, process, display, secure, and support it.
10. Suspension and Termination
Kintah may suspend or terminate access for non-payment, missing insurance, unverifiable information, repeated workflow or service-level failures, legal risk, security risk, prohibited conduct, fraud, or violation of these Terms.
11. Disclaimers and Limitation of Liability
The platform is provided on an as-available basis unless a written agreement states otherwise. Kintah is not responsible for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, customs delays, third-party carrier failures, uninsured shipments, user negligence, or third-party breaches, to the maximum extent permitted by law.
12. Changes to Terms
Kintah may update these Terms as services, compliance requirements, laws, or platform workflows change. Continued use after updates means you accept the revised Terms.
